1. AGREEMENT TO TERMS By accessing our Site, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Site.
- Privacy Policy: Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by this reference.
- Eligibility: You affirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.
2. ACCOUNTS AND CONTENT
- Account Security: If you register for an account, you are responsible for maintaining the confidentiality of your password. You accept responsibility for all activities that occur under your account. We reserve the right to terminate accounts, remove or edit content, or cancel orders in our sole discretion.
- User Content License: By posting, uploading, or inputting data to the Site ("User Content"), you grant us a non-exclusive, worldwide, royalty-free license to use, copy, display, and process such User Content solely as necessary to provide our services to you.
3. INTELLECTUAL PROPERTY RIGHTS Unless otherwise indicated, the Site and all content therein (including code, databases, software, and designs) are our proprietary property and are protected by copyright and trademark laws.
- User Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Site ("Feedback"), you acknowledge that we will own such Feedback and may use it for any purpose without compensation to you.
- Unsolicited Ideas: If you submit any unsolicited ideas, suggestions, or feedback to us, you agree that such submissions will automatically become the property of American Information Systems, LLC, without any compensation to you. We may use or redistribute the submissions for any purpose and in any way.
4. PROHIBITED ACTIVITIES Users agree not to:
- Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us (No Scraping), including for the purpose of training artificial intelligence or machine learning systems.
- Upload or transmit viruses, Trojan horses, or other harmful material that interferes with the uninterrupted use and enjoyment of the Site.
- Use the Site to harass, abuse, or harm another person.
- Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
5. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify our Designated Copyright Agent at support@ais.us. Your notification must strictly comply with the requirements of 17 U.S.C. § 512(c)(3), including providing a physical or electronic signature of the copyright owner.
6. DISCLAIMER & ACCESSIBILITY THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR UNINTERRUPTED. WHILE WE STRIVE FOR ADA COMPLIANCE, WE DO NOT GUARANTEE THE SITE IS FULLY ACCESSIBLE TO ALL ASSISTIVE TECHNOLOGIES AT ALL TIMES.
7. LIMITATION OF LIABILITY IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR $100 USD, WHICHEVER IS GREATER.
8. THIRD-PARTY LINKS The Site may contain links to other websites ("Third-Party Websites"). Such Third-Party Websites are not investigated, monitored, or checked for accuracy by us, and we are not responsible for any Third-Party Websites accessed through the Site.
9. TERMINATION OF ACCESS We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site (including blocking certain IP addresses) to any person for any reason or for no reason.
10. GOVERNING LAW These Terms shall be governed by and defined following the laws of the State of Texas, without regard to its conflict of law principles.
11. DISPUTE RESOLUTION (BINDING ARBITRATION) PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
- Binding Arbitration: Any dispute or claim arising from your use of the Site (except for Intellectual Property disputes or claims for unpaid fees) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
- Exceptions: American Information Systems, LLC retains the right to (a) seek injunctive relief in court for IP infringement, (b) sue in court to collect unpaid fees, or (c) allow either party to bring a claim in Small Claims Court if the claim qualifies.
- Class Action Waiver: You and American Information Systems, LLC agree that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action, or any other type of representative proceeding.
- Jury Trial Waiver: If for any reason a dispute proceeds in court rather than in arbitration, you and American Information Systems, LLC waive any right to a jury trial.
- Venue: For any disputes not subject to arbitration, the exclusive venue shall be the state or federal courts located in Warren County, Missouri.
12. INDEMNIFICATION You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) breach of these Terms of Use; or (3) your violation of the rights of a third party.
13. MISCELLANEOUS
- Changes to Terms: We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to the Site. Your continued use of the Site following the posting of changes constitutes your acceptance of those changes.
- Statute of Limitations: Any cause of action or claim you may have arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.
- Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control (e.g., acts of God, internet failures, war, strikes).
- Export Control: You may not use, export, or re-export any content or software from the Site in violation of any applicable laws or regulations, including United States export laws.
- Severability: If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of remaining provisions.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment: We may assign any or all of our rights and obligations to others at any time. You may not assign or transfer any rights under these Terms without our written consent.
- Survival: The provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, intellectual property ownership, warranty disclaimers, indemnity, and limitations of liability.
- Order of Precedence: In the event of a conflict between these Terms of Use and a valid, written Master Services Agreement (MSA) or Client Contract signed by you and us, the provisions of the MSA or Client Contract shall control.
- Headings: The section titles in these Terms are for convenience only and have no legal or contractual effect.
- Electronic Communications: You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
14. CALIFORNIA USERS AND RESIDENTS: Under California Civil Code Section 1789.3, California website users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 N.
